This relates to the post-quote, pre-work, pre-invoice phase of things where
you and the client are hashing out the details in the contract.
One thing I've found useful is to state in the contract the incremental
milestones and payment schedule. THEN also state that copyright is
transferred when payment is received in full. If the work is
published/distributed/sold before the copyright has been transmitted to
them, there is an addition (hefty) copyright transfer fee.
If you feel that this might be the client from hell or just want to be
careful, you can define "received in full" as the check clearing.
Retaining copyright makes you an owner of one of the assets of the company.
Should the company stiff you or go bankrupt, you are ahead in line before
creditors. A contractor who has an outstanding bill is a creditor, no more.
Owning a piece of the company assets means you have a better chance of
getting some, if not all of the $ you are owed. Also, the penalty fee
encourages them to pay you in a timely fashion.
Of course, I am not a contract lawyer, and I have no idea what analogous
wording (if anything) would be appropriate outside the US. Contact a lawyer
for good wording on this if you think it's a good idea. YMMV.
