(Broadly!) I'd say the difference is as follows:
Product release is either the release of a totally NEW product or the
release of an existing with SIGNIFICANT new features added. Product X
now also has NEW FEATURE 1, NEW FEATURE 2 etc
Product Upgrade can be used to hide what is effectively a series of bug
fixes. Alternatively (and more usually), it provides an enhancement to
an existing feature. Product X now allows you to print direct to PDF
etc
Some people would say that, strictly speaking, Release is ONLY for new
products and everything else is an upgrade.
