If you mean the shading you see when you put the insertion point inside the TOC, don't worry about it--it won't show up in print. If it *really* bothers you to look at it, go to the View tab of the Options dialog box, and set Field Shading to Never. (I keep it set to When Selected, because the shading is a useful reminder that any hand-typed changes will be lost when the TOC is regenerated.)
If you mean some other shading, follow Geoff's suggestion about changing the paragraph stylistic attributes for TOC 1, TOC 2, ..., TOC 9.

Before you copy it, you need to "unlink" the field. Here's what Word's help says:
Unlink a field
==============
Click the field, and then press CTRL+SHIFT+F9.
NOTE Once a field is unlinked, the current field result is
regular text. If you later want to update the information,
you must insert the field again.
So: Do that, then copy the TOC, then paste it into the other file.
